MBC PRO Terms of Service

1. Agreement to Terms

By accessing or using the MBC PRO platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "Client," or "you") and MBC PRO ("we," "our," or "us").

If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, please discontinue use of our Services immediately.

2. Description of Services

MBC PRO is an all-in-one business growth platform designed to help service providers and entrepreneurs grow their businesses. Our Services include, but are not limited to:

Customer Relationship Management (CRM)
Lead generation and lead management tools
Marketing automation including SMS, email, and voicemail campaigns
Appointment booking and calendar management
Reputation management and review collection
Sales pipeline and quote automation
Reporting and analytics dashboards
Two-way SMS and email communication tools
Third-party integrations via Webhooks and Zapier
Done-for-you system setup and ongoing optimization

We reserve the right to modify, suspend, or discontinue any feature of our Services at any time with reasonable notice.

3. Eligibility

To use MBC PRO, you must:

Be at least 18 years of age
Be a legally operating business or self-employed individual
Have the legal capacity to enter into a binding contract
Not be prohibited from using our Services under applicable law

By creating an account, you confirm that you meet all eligibility requirements.

4. Account Registration and Responsibilities

Creating an Account

To access our platform, you must register for an account by providing accurate and complete information. You agree to keep this information current and up to date at all times.

Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your password with any unauthorized party. You must notify us immediately at if you suspect any unauthorized access to your account.

Account Activity

You are responsible for all activity that occurs under your account, whether or not you authorized it. MBC PRO is not liable for any loss or damage resulting from unauthorized use of your account.

5. Acceptable Use Policy

You agree to use MBC PRO only for lawful, legitimate business purposes. You must not use our Services to:

Violate any applicable local, provincial, national, or international law or regulation
Send unsolicited bulk messages, spam, or communications that violate anti-spam laws including CASL and the CAN-SPAM Act
Harass, threaten, defame, or harm any individual or business
Collect or store personal data about others without proper consent or legal basis
Impersonate any person, business, or entity
Distribute malware, viruses, or any harmful or disruptive code
Attempt to gain unauthorized access to our platform, servers, or networks
Scrape, crawl, or extract data from our platform without written permission
Engage in fraudulent, deceptive, or misleading conduct
Resell or sublicense our Services without our prior written consent

We reserve the right to suspend or terminate any account that violates this Acceptable Use Policy, without notice and without refund.

6. Subscription Plans and Billing

Subscription

Access to MBC PRO requires a paid subscription. Plan details, features, and pricing are described on our Pricing page and may be updated from time to time.

Billing Cycle

Subscriptions are billed on a recurring basis, either monthly or annually, depending on the plan you select. Billing begins on the date you activate your subscription.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

Price Changes

We reserve the right to change our pricing at any time. If we increase prices for your current plan, we will provide at least 30 days' written notice before the new pricing takes effect. Your continued use of the Services after a price change constitutes acceptance of the new rates.

Failed Payments

If a payment fails, we will attempt to reprocess the charge. If payment is not received within 7 days of the due date, we reserve the right to suspend your account until the outstanding balance is resolved.

7. Refund Policy

All subscription fees are non-refundable except where required by applicable law. We do not offer refunds for partial billing periods, unused features, or if you choose to cancel before the end of a billing cycle.

If you believe a charge was made in error, please contact us within 14 days of the charge and we will review your request in good faith.

8. Done-For-You Services

As part of certain plans, MBC PRO provides done-for-you setup, configuration, and ongoing optimization services. You agree to cooperate with our team by providing timely access, information, and approvals necessary to complete the work.

Timelines provided for setup and delivery are estimates only and may vary depending on the complexity of your requirements and your responsiveness.

9. Third-Party Integrations

MBC PRO integrates with third-party platforms including but not limited to CRMs, calendar tools, Zapier, Google, and social media platforms. Your use of these integrations is subject to the terms and conditions of the respective third-party providers.

We are not responsible for the availability, accuracy, or performance of any third-party services. Any issues arising from third-party platforms must be resolved directly with those providers.

10. Intellectual Property

Our Intellectual Property

All content, software, technology, trademarks, logos, and materials associated with MBC PRO are the exclusive property of MBC PRO or its licensors. Nothing in these Terms grants you any ownership rights in our platform or brand.

Your Content

You retain ownership of all content, data, and materials you upload or create through our Services ("Your Content"). By using MBC PRO, you grant us a limited, non-exclusive license to use, store, and process Your Content solely for the purpose of delivering our Services to you.

You represent and warrant that Your Content does not infringe the intellectual property rights or privacy rights of any third party.

11. Confidentiality

Each party agrees to keep the other's confidential business information private and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives the termination of your account or these Terms.

12. Privacy

Your use of MBC PRO is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

13. Disclaimers and Limitation of Liability

No Guarantee of Results

MBC PRO provides tools and automation to support your business growth. We do not guarantee any specific results, including lead volume, revenue increases, or business growth outcomes. Results will vary based on your industry, market, effort, and other factors outside our control.

Service Availability

We aim to maintain high platform uptime but do not warrant that our Services will be uninterrupted, error-free, or completely secure. We may perform scheduled or emergency maintenance that temporarily affects availability.

Limitation of Liability

To the maximum extent permitted by law, MBC PRO shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total amount you paid to us in the three months immediately preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless MBC PRO, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

Your use of our Services
Your violation of these Terms
Your violation of any applicable law or regulation
Any content you submit or transmit through our platform
Any dispute between you and a third party

15. Term and Termination

Term

These Terms remain in effect for as long as you maintain an active account with MBC PRO.

Termination by You

You may cancel your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.

Effect of Termination

Upon termination, your right to access the platform ceases immediately. We may delete your account data after 90 days following termination. Sections of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and indemnification — will continue to apply.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules in British Columbia.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on our platform at least 14 days before the changes take effect. Your continued use of our Services after that date constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using our Services and cancel your account before the effective date.

18. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MBC PRO with respect to your use of our Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure. MBC PRO shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
